PROSPECTOR LICENSE AGREEMENT - (Last updated: May 25, 2007)
Prospector, including information contained in any databases, described in this document is furnished under a license agreement or nondisclosure agreement and may be used or copied only in accordance with the terms of the agreement. It is against the law to copy the software or any of the content found within Prospector, except as specifically allowed in this License Agreement.

SCOPE OF AGREEMENT
This Agreement sets forth the terms and conditions that shall apply to any and all subscription services by Licensee for Integrated Design Engineering Systems (IDES) Internet product, Prospector. This product consists of the IDES database listed in Licensee's registration, which is delivered to Licensee over the Internet with computer software proprietary to IDES, user documentation and support, as provided in this Agreement.

USE RESTRICTIONS
The data and software used by Licensee may be used only in the internal operations at the Licensee's location and may not be made available for any other use by loan, rental, service bureau, external time sharing or similar arrangement. Nor may the data or software be made available to multiple users at one time or at one location through any networking, terminal access, downloading, internal time sharing or similar arrangements unless contract provisions have been made for the foregoing. Users of Prospector must register for personal accounts using a valid email address by visiting www.ides.com. User's personal accounts cannot be shared with others.

COMPANY-WIDE LICENSING
Company-wide accounts are intended for one company’s use only.  This does not include joint ventures.  Company-wide licenses are regional and only cover a given region unless otherwise arranged.

ANNUAL RENEWAL OF SERVICE
When users subscribe to Prospector, their personal account is valid for 365 days. Prior to their account expiring, they will receive a renewal notice by email days prior to the expiration date.

USAGE ABUSE
IDES reserves the right to cancel your account at any time.

TERMINATION OF SERVICE
IDES reserves the right to reject nonqualified subscriptions to Prospector.

DATA SHARING
Datasheets in Prospector can be printed, emailed and faxed from qualified users to their colleagues. Data in Prospector cannot be copied or reproduced subject to copyright laws.

MAINTENANCE AND SERVICE
IDES will respond to Licensee's reasonable inquiries regarding the use of the software and problems encountered therewith. Such service shall be provided to customers from 8:00 a.m. to 5:00 p.m. MST (Mountain Standard Time). IDES will use reasonable effort to respond to Licensee's inquiries.

DATA PROPRIETARY RIGHTS
All materials provided under this Agreement via print or otherwise, and all rights therein are copyrighted and/or are the property of IDES. Reproduction of specifications and standards, or other data which is made available over the Web using Prospector, may be permissible under the Fair Use provision of the Copyright Act, provided that any such reproduction is for Licensee's internal use (and not for sale or resale). Subject to applicable law, all other forms of reproduction or use are expressly prohibited.

SOFTWARE PROPRIETARY RIGHTS
IDES licenses access to the software for use in accordance with the provisions of this Agreement and subject to all of the terms and conditions herein. Licensee acknowledges that the software comprises valued proprietary and confidential information of IDES and/or its suppliers and is subject to legal protection as a trade secret and under the copyright law. Licensee may not make any changes or modifications to the software or duplicate, transfer, reverse engineer, sell or in any other manner commercially exploit the software.

NO WARRANTIES
IDES does not warrant that Licensee's use of these products, including without limitation the databases or software will be uninterrupted or error-free, or that the results obtained will be successful or will satisfy Licensee's requirements. The data is compiled from materials furnished to IDES by outside sources and should be used as a reference source only. No representations or warranties are made as to completeness or accuracy. ALL WARRANTIES (INCLUDING ANY WARRANTY OR MERCHANT ABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE) ARE HEREBY EXPRESSLY EXCLUDED.

LIMITATION OF LIABILITY
Licensee assumes the sole responsibility for all use of the products and agrees to indemnify and hold IDES harmless from any liability or claim of any person arising from such use. IDES shall not be responsible for any loss or damage arising out of, or in connection with, the use of the product, including without limitation, the databases or software. IDES' liability, if any, shall be limited to the paid price to the database that gave rise to Licensee's claim.

PROSPECTOR PRIVACY - (Last updated: October 30, 2007)
At IDES we recognize privacy is important.

  • This Privacy Policy covers IDES' treatment of personally identifiable information that IDES collects when you are on the IDES Web Site, and when you use IDES' services, including Plastics Sourcing. This policy also covers IDES' treatment of any personally identifiable information that IDES' business partners share with IDES or that IDES may collect on a partner's web site.
  • IDES may set and access IDES cookies on your computer when users access our online services. This is for your convenience in remembering user information to access these services in the future.
  • IDES may amend our privacy policy from time to time. If we make any substantial changes in the way we use your personal information we will notify you by posting a prominent announcement on our pages.

INFORMATION COLLECTION
IDES is the sole owner of the information collected on IDES Web Sites. IDES collects information from our users at several different points on our Web Sites.

Communication with Prospector Users
Occasionally IDES will email subscribers to inform them of updates to Prospector and to obtain updated contact information.
We also send complimentary newsletters; at most, once per month to our paying customers, and at most, twice per month to our free subscribers. Since we deeply respect your privacy, Prospector users may unsubscribe from these newsletters at anytime.

Plastics Sourcing Service. IDES gathers your personally identifiable information when you submit Sourcing Requests. This information is only shared with Resin Suppliers and Resin Distributors for the specific purpose of fulfilling your request.

Registration. In order to gain access to our Prospector and Plastics Sourcing services, a user must first complete a registration form. During registration a user is required to give contact information (such as name and email address). We use this information to contact the user about services on our Web Sites for which he/she has expressed interest. It is optional for the user to provide unique identifiers (such as, username and password), but encouraged so we can provide a more personalized experience on our Web Sites.

Product Ordering. We request information from the user on our order form. A user must provide contact information (such as name, email, and shipping address) and financial information (such as credit card number, expiration date). This information is used for billing purposes and to fill customer’s orders. If we have trouble processing an order, the information is used to contact the user. Our online order center is a secure site to protect your personally identifiable and financial information. To learn more about our security, please review the information provided below under the section titled "Security".

INFORMATION USE
Profile. We store information that we collect through cookies, log files, clear gifs, and/or third parties to create a profile of our users. A profile is stored information that we keep on individual users that details their viewing preferences. Consequently, collected information is tied to the user's personally identifiable information to provide offers and improve the content of the Web Site for the user. This profile is used to tailor a user’s visit to our Web Site, and to direct pertinent marketing promotions to them. We do not share your profile with other third parties.

*Company-Wide Accounts. If your organization subscribes to company-wide access allowing anyone at your company to login to Prospector, IDES may share your contact information with other users from your company. This event happens when you are logged into your company's Prospector account and another employee tries to log in. Prospector provides them with a message saying that the account is in use by you, listing your Name and E-mail address, so that they may contact you to ask you to logout of Prospector so that they may login.

*Advertisements from 3rd Party Organizations. 3rd party organizations advertise in IDES Prospector products and services. As a convenience to our subscribers, when clicking on some of these advertisements, your personal information may be presented as an option to send to the advertiser so that they may followup with your request. The information you will be sharing with these advertisers will be presented for your review. Additionally, many of our advertisers provide IDES with articles that we post as free downloads from The Plastics Store™ - by choosing to download these free articles, you are agreeing to share your contact information with these 3rd party advertisers. Many of our advertisers also provide IDES with free informational and training webinars. By choosing to register to attend these events, you are agreeing to share your contact information with these 3rd party advertisers.

Log Files. Like most standard Web Site servers we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the Web Site, track user’s movement in the aggregate, and gather broad demographic information for aggregate use. IP addresses, etc. are not linked to personally identifiable information.

Links. This Web Site contains links to other sites. Please be aware that we, IDES, are not responsible for the privacy practices of such other sites. We encourage our users to be aware when they leave our Web Site and to read the privacy statements of each and every Web Site that collects personally identifiable information. This privacy statement applies solely to information collected by IDES Web Sites.

Tell-A-Friend. If a user elects to use our referral service for informing a friend about our Web Sites, we ask them for the friend’s name and email address. IDES will automatically send the friend a one-time email inviting them to visit the Web Site. IDES does not store this information. It is used only for the sole purpose of sending a one-time email.

Correcting/Updating/Deleting/Deactivating Personal Information. If a user’s personally identifiable information changes (such as zip code, phone, email or postal address), or if a user no longer desires our service(s), we provide a way to correct, update or delete/deactivate users’ personally identifiable information. This can be done by emailing our Customer Support at info@ides.com or by contacting us by telephone: 800-788-4668 or 307-742-9227

We will retain in our files information you have requested to remove in some circumstances, such as to resolve disputes, troubleshoot problems and enforce our Web-Based Programs Software User Agreement. Further, such prior information is never completely removed from our databases due to technical and legal constraints, including stored "back up" systems. Therefore, you should not expect that all of your personally identifiable information will be completely removed from our databases in response to your requests.

SECURITY
IDES takes every precaution to protect our users’ information. When users submit sensitive information via the our Web Sites, their information is protected both online and off-line.

When our registration/order form asks users to enter sensitive information (such as credit card numbers), that information is encrypted and is protected with the best encryption software in the industry - SSL. While on a secure page, such as our order form, the lock icon on the bottom of Web browsers such as Netscape Navigator and Microsoft Internet Explorer becomes locked, as opposed to un-locked, or open, when users are just ‘surfing’.

While we use SSL encryption to protect sensitive information online, we also do everything in our power to protect user-information off-line. All of our users’ information, not just the sensitive information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, our accounts receivable department or a customer service representatives) are granted access to personally identifiable information. Our employees must use password-protected screen-savers when they leave their desk. When they return, they must re-enter their password to re-gain access to user information. Furthermore, ALL employees are kept up-to-date on our security and privacy practices. Every time new policies are added, our employees are notified and/or reminded about the importance we place on privacy, and what they can do to ensure our users’ information is protected. Finally, the servers that store personally identifiable information are in a secure environment, within a locked facility.
